Welcome to PineconeX ("PineconeX", "we", "us", "our").
These Terms and Conditions ("Terms") govern your access to and use of the PineconeX platform, website, software, APIs, automated trading tools, trading bots, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use the Services.
To use the Services, you must:

PineconeX provides software that enables users to create, configure, test, deploy, monitor, and automate trading strategies.
PineconeX:
All trading decisions remain solely your responsibility.
The Services and all related content are provided solely for informational and technical purposes.
Nothing provided by PineconeX constitutes:
Any strategy templates, examples, indicators, educational materials, performance statistics, backtesting results, or trading signals are provided for informational purposes only.
You should seek independent professional advice before making investment decisions.
Trading financial instruments involves substantial risk.
You acknowledge and accept that:
Past performance is not indicative of future results.
Backtested, simulated, or hypothetical performance results have significant limitations and do not guarantee future performance.
You assume full responsibility for all trading outcomes.

PineconeX does not supervise, monitor, or manage your trading activities.
PineconeX is not a backup or data-archival service and does not guarantee the retention, integrity, or recoverability of any data stored on the Services. You are solely responsible for keeping your own independent copies of your strategies and data. PineconeX shall not be liable for any loss of data, however caused.
The Services may integrate with third-party services including:

We do not guarantee:
Your relationship with third-party providers is governed by their respective terms and conditions.
To access certain Services, you may be required to create an account.

You are responsible for all activity occurring under your account.
Certain features may require payment of subscription fees.
Unless otherwise required by law:
Failure to pay applicable fees may result in suspension or termination of access.
You agree not to:
We actively monitor for malicious, abusive, and exploitative activity. Accounts engaged in such behaviour may be suspended or permanently banned immediately, without prior notice, warning, or refund, at our sole discretion.
All intellectual property rights relating to the Services remain the exclusive property of PineconeX and its licensors.
This includes:
Proprietary compiler and interpreter
The platform includes a proprietary Pine Script compiler and/or interpreter (the "Engine"). The Engine is the exclusive intellectual property of PineconeX. No part of the Engine — including its algorithms, intermediate representations, bytecode format, and output — may be reverse-engineered, decompiled, reproduced, or redistributed without prior written permission from PineconeX.
Access to the Engine is provided solely as part of the Services and does not constitute a transfer or licence of any ownership rights in the Engine.
No ownership rights are transferred to users.
Simulated results and performance data
Backtests, parameter sweeps, walk-forward analyses, optimisation runs, and any equity curves, trade lists, performance metrics, charts, or other output the Engine generates (collectively, "Simulated Results") are produced by the proprietary Engine using market data licensed to PineconeX. Simulated Results are computed output of the Services, not data you supply.
You acquire no ownership of, and no intellectual-property rights in, the Simulated Results. PineconeX grants you a limited, non-exclusive, non-transferable, revocable licence to access and use Simulated Results for your own internal trading-decision purposes, and only for the duration of an active subscription. This licence — and your access to the Simulated Results — ends when your subscription lapses, is cancelled, or your account is closed, and PineconeX may remove the Simulated Results at that time. Simulated Results are made available on a subscription basis only and may not be claimed as your property.
For clarity, this does not affect your ownership of the underlying strategy or source code you authored (Section 12); it applies only to the simulated output generated by the Engine and the market data on which it is based.
Private and closed-source scripts
You retain full ownership of any trading strategies, scripts, configurations, or content that you upload and keep private or closed-source, including compiled bytecode generated from your source code. PineconeX claims no ownership over such content.
You grant PineconeX a limited, non-exclusive license to store, process, and execute such content solely for the purpose of operating and providing the Services.
Public scripts
Any script or strategy that you choose to publish publicly on the PineconeX platform ("Public Script") is licensed to PineconeX on a perpetual, irrevocable, worldwide, royalty-free basis. PineconeX may display, index, reproduce, and redistribute Public Scripts as part of the platform's public library.
By publishing a script publicly you represent that you have the right to grant this licence and that the script does not infringe any third-party intellectual property rights.
You may retract a Public Script at any time; however, copies already distributed or cached prior to retraction may remain accessible.
You represent and warrant that you have the necessary rights to upload all content, whether private or public.
Strategy marketplace
Users may choose to share a compiled strategy with other platform users ("Subscribers") without disclosing the underlying source code. Shared strategies are executed by the PineconeX Engine on behalf of each Subscriber; the source code remains encrypted and is never exposed to Subscribers or third parties.
No commission or fund handling
Strategy sharing is commission-free. PineconeX does not calculate, collect, deduct, or remit any commission, performance fee, or share of trading profits, and never holds, routes, or moves Subscriber funds or trade proceeds. Access to shared strategies is governed solely by your PineconeX subscription. Each Subscriber runs a shared strategy in their own connected broker account, and any resulting profits or losses are entirely their own.
Author responsibilities
By sharing a strategy the Author represents and warrants that:
No guarantee of results
Neither PineconeX nor the Author guarantees any trading profits. Subscribers use shared strategies entirely at their own risk. Past performance displayed on a strategy's profile page is historical and does not guarantee future results.
Liability
PineconeX acts solely as a technical intermediary. PineconeX is not responsible for the performance, accuracy, or legality of any shared strategy, and shall not be liable for any losses incurred by Subscribers.
The Services are provided on an "as available" and "as is" basis.
PineconeX does not guarantee:
Scheduled maintenance and unexpected outages may occur, and may result in loss of data. You are responsible for maintaining your own backups (see Section 6).
To the fullest extent permitted by applicable law, PineconeX disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
The Services are provided without any guarantee of profitability or performance.
To the maximum extent permitted by law, PineconeX shall not be liable for:
PineconeX shall not be liable for losses resulting from:
Where liability cannot be excluded under applicable law, PineconeX's total liability shall be limited to the amount paid by the user during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
You agree to indemnify and hold harmless PineconeX, its directors, employees, contractors, affiliates, and partners from any claims, losses, liabilities, damages, costs, or expenses arising from:
PineconeX reserves the right to suspend, restrict, or permanently terminate your access to the Services at any time, for any reason or no reason, with or without notice. No explanation is required.
Without limiting the above, PineconeX may take such action if:
You may terminate your account at any time.
Termination does not affect accrued rights or obligations. PineconeX shall not be liable to you or any third party for any suspension or termination of access.

PineconeX shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including:

Material changes will be communicated through the website, platform, or email where appropriate.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles.
The parties shall first attempt to resolve disputes through good-faith negotiations.
If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Belgium, subject to any mandatory consumer protection rights under applicable law.
